These Terms of Service (“Terms”) govern your access to and use of the website at txroofingsystems.com (the “Site”), operated by TX Roofing Systems (“we,” “us,” or “our”), a brand of MARAM TECH VENTURES LTD. By accessing or using the Site, submitting a request through any form on the Site, or calling any phone number listed on the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Nature of the Service

TX Roofing Systems is a lead-generation and matchmaking platform. We are not a roofing contractor. We do not perform, supervise, license, employ, certify, insure, or warrant any roofing work. The Site exists to connect homeowners in Dallas, Texas and the DFW Metroplex with independent third-party contractors who may be willing to provide quotes or perform services such as roof repair, roof replacement, roof inspection, and storm-damage repair.

2. No Guarantees

We make no representations, warranties, or guarantees regarding the contractors in our network or the services they provide, including without limitation any representation as to:

  • The quality, safety, or workmanship of any work performed;
  • Pricing, estimates, quotes, or final invoices;
  • Timeliness, scheduling, completion dates, or response times;
  • Licensing, bonding, insurance, or background of any contractor;
  • Outcome, durability, or compatibility of any roofing product or system;
  • The handling, approval, or payment of any insurance claim.

All decisions to hire, contract with, pay, or rely upon any contractor are made at your own risk. Inclusion of a contractor in our network does not constitute an endorsement, recommendation, or guarantee by us. We strongly encourage you to verify each contractor’s license, insurance, references, and written agreements before authorizing any work.

3. Independent Contractors

Contractors that contact you through the Site are independent third parties. They are not our employees, agents, partners, joint venturers, franchisees, or representatives, and we do not control their work, their hiring, their pricing, their conduct, or their results. Any contract for roofing services is solely between you and the contractor. We are not a party to that contract and have no responsibility for its performance.

4. Disclaimer of Warranties

The Site and the matching service are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information provided through the Site is accurate, current, or complete.

5. Limitation of Liability

To the fullest extent permitted by law, in no event will TX Roofing Systems, its owners, officers, employees, contractors, affiliates, licensors, or service providers be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, business, or use, arising out of or in connection with the Site, the matching service, any contractor or any work performed (or not performed) by any contractor, whether based on contract, tort (including negligence), strict liability, or any other theory, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any and all claims arising out of or relating to the Site or these Terms will not exceed one hundred US dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you; in that case, our liability will be limited to the maximum extent permitted by law.

6. Indemnification

You agree to indemnify, defend, and hold harmless TX Roofing Systems and its owners, officers, employees, contractors, affiliates, licensors, and service providers from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site, (b) your interactions with any contractor, (c) any work performed (or not performed) by any contractor, (d) your breach of these Terms, or (e) your violation of any law or the rights of any third party.

7. User Responsibilities

  • You must be at least 18 years of age and the homeowner or authorized representative of the property in question.
  • You must provide accurate, current, and complete information, including a phone number you own or are authorized to provide.
  • You agree to use the Site only for lawful purposes and not to submit fraudulent requests, scrape the Site, interfere with its operation, or attempt to gain unauthorized access to any portion of it.

8. Communication and Marketing Consent

By submitting your information through any form on the Site, or by calling or texting any phone number listed on the Site, you expressly consent to be contacted by TX Roofing Systems and by one or more independent roofing contractors in our network at the phone number, email address, and other contact details you provide, regarding your request and other related roofing services. You agree that this contact may be made by phone calls, text/SMS messages, and emails, and that those communications may be initiated using automated dialing systems, pre-recorded or artificial voice messages, AI-powered receptionists or virtual agents, and similar technologies.

You understand that this consent is not a condition of purchase, that message and data rates may apply, and that you may revoke consent at any time by replying STOP to a text message, by asking to be placed on our internal do-not-call list during a phone call, or by emailing us at legal@txroofingsystems.com. Revoking consent may delay or prevent us from matching you with a contractor.

Phone calls placed to or received from numbers associated with the Site may be recorded, transcribed, and processed by AI systems as described in our Privacy Policy.

9. Intellectual Property

All content on the Site — including text, graphics, logos, images, designs, layouts, software, and the “TX Roofing Systems” name and trademarks — is owned by or licensed to us and is protected by United States and international intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial use. Any other use, including reproduction, modification, distribution, public display, framing, scraping, or use for training of machine- learning models, is prohibited without our prior written consent.

10. Third-Party Links and Services

The Site may contain links to third-party websites or use third-party services (including the analytics, advertising, and AI tools described in our Privacy Policy). We are not responsible for the content, accuracy, security, or practices of any third party.

11. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You agree that the exclusive jurisdiction and venue for any action arising out of or relating to these Terms or the Site lies in the state or federal courts located in Dallas County, Texas, and you waive any objection to such jurisdiction or venue.

12. Modifications

We may update these Terms at any time, in our sole discretion, by posting the revised Terms on the Site and updating the “Last updated” date above. Your continued use of the Site after the revised Terms are posted constitutes your acceptance of them. If you do not agree to the revised Terms, you must stop using the Site.

13. Severability and Entire Agreement

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Site and supersede all prior agreements and understandings.
